Green Crescent provides translation, transcription, interpretation, website localization, desktop publishing, project management and related services to its clients for agreed upon fees. We strive to provide first-rate quality work relative to our peers at a fair and, usually, below-market cost. By engaging Green Crescent’s services, our clients hereby agree to the following terms and conditions which shall be considered legally binding unless superseded by a signed, written agreement.
General Terms & Conditions
All rights are reserved with respect to content appearing on this website. All access to the Green Crescent website (http://www.greencrescent.com) and its contents is provided "as is." Green Crescent makes no representations or warranties hereunder and expressly disclaims all representations and warranties, whether express, implied, or statutory, including, without limitation, non-infringement warranties and warranties of merchantability and fitness for a particular purpose. Green Crescent does not assume any responsibility or liability for the content or behavior of any website to which it links or otherwise recommends.
By engaging Green Crescent services you agree to indemnify, defend, and hold harmless Green Crescent, its affiliates and their respective directors, officers, shareholders, employees, collaborators, service providers, representatives, agents, attorneys, successors, and assigns from and against any and all claims to the extent arising out of or in connection with the services that we provide. In no event will Green Crescent be liable for any damages arising out of the use of our products or services including, but not limited to, missed deadlines or any product or service deemed unsatisfactory or unfit for a particular purpose beyond the cost of the product or service.
By engaging Green Crescent services you agree to indemnify, defend, and hold harmless Green Crescent, its affiliates and their respective directors, officers, shareholders, employees, collaborators, service providers, representatives, agents, attorneys, successors, and assigns from and against any and all claims to the extent arising out of or in connection with personal injury, including death, and tangible property damage caused by the negligent or intentional acts or its employees, agents or representatives; misappropriation, infringement or other violation of any applicable law or third party rights, including, without limitation, rights of publicity, rights of privacy, patents, copyrights, trademarks, trade secrets and/or licenses; or the breach of its representations, warranties or covenants hereunder.
Clients are solely responsible for the use of our work and for abiding by all copyright laws in any jurisdiction worldwide where our work is used. Green Crescent will not he held responsible or in any way liable for copyright infringement by our clients.
Green Crescent reserves the right to discontinue any project at any time for any reason without penalty other than the return of any pre-paid funds. We reserve the right to refuse any project without explanation.
Green Crescent will not be held liable for any failure to meet agreed upon obligations due to force majeure including but not limited to fire, flood, power outages, Internet failure or other breakdowns of communication infrastructure, governmental action, civil activism, labor disputes, or any other cause beyond our control. Green Crescent will make a good faith effort to overcome any such obstacle as soon as it is reasonably possible.
Green Crescent reserves the right to showcase our work and display client logos as well as exhibit details regarding the work we preform on our website and in advertising unless otherwise agreed in writing.
Green Crescent strives to meet the EN 15038:2006 and ISO 9001:2015 quality standards at industry standard error rates according to the SAE J2450 Translation Quality Metric in our organization critical translations.
Green Crescent represents and warrants that it will perform its services in a manner consistent with the norms used through the language services industry. Green Crescent promises to deliver an objectively high-quality translation that is a reflection of the original source text. Unless otherwise agreed upon, Green Crescent will translate into a language's most common dialect.
It must be understood that a translation is only as good or appropriate for a given audience as the source text upon which it is based. In as much, we cannot guarantee that a text will be optimal, once translated, for a client's target audience nor can we be held responsible for errors or any sub-optimal composition contained in the original source.
Given its nature, translation is often subjective. Green Crescent is not obligated to make modifications regarding style, dialect, word choice, turn of phrase or other subjective elements of an otherwise objectively correct translation that do not constitute errors of translation according to the SAE J2450 Translation Quality Metric but rather the personal tastes of the client or their reviewer. We will, however, work with clients to resolve such issues in good faith going forward.
Green Crescent will correct any errors as defined by the SAE J2450 Translation Quality Metric free of charge if we receive written notification containing the requested changes within thirty (30) days of delivery. Green Crescent must be given a reasonable time to make any needed corrections. Any requests for correction submitted after the aforementioned time period expires will be considered at the sole discretion of the project manager. Please note that any electronic communications such as email are considered to be "in writing". Any transmission of our work to the client via email attachment, link, FTP, postal service or private courier constitutes "delivery" starting on the date sent.
Unless provided with a preferred, specific list of terms/glossary to use to perform our language services, Green Crescent will translate specialized terms by their usual and conventional meanings, and otherwise make decisions based on our standard operating procedures and expertise.
Changes to the scope or nature of a project taking place after the project has begun may require additional fees and extended delivery times. This includes, but is not limited to, modifications or the original source text, additional formatting or design requirements, changes to target language, dialect, variety or target market, or changes to the desired delivery date.
All source material should be delivered to Green Crescent in agreed upon format(s) in the agreed upon time frame. Green Crescent is not responsible for delays that result from the failure to deliver materials on time and/or in agreed upon formats. Materials submitted in non-electronically editable formats, such as paper copies or scans, or equivalent, often require additional fees to convert to an electronic format in which we can work. Green Crescent will perform simple formatting at no charge. Charges for more extensive or specialized formatting, desktop publishing, or typesetting will be assessed on a case-by-case basis.
Any and all modifications, additions, or changes of any type to source materials should be submitted to Green Crescent in the context of the original source material clearly indicating all changes and where they occur in relation to the previously submitted materials. Costs and turn around time for the incorporation of additional materials and/or modifications to source materials will be determined on a case-by-case basis. If modifications are not tracked, additional hourly rates may apply beyond originally quoted cost per word.
Delivery dates are valid only when confirmed by Green Crescent in writing. An estimated turn around time should not be construed as a guaranteed delivery date. In the event that a delay in delivery takes place, Green Crescent will be granted a reasonable additional period for completion automatically. Only upon expiration of this additional period without completion will the customer be entitled to demand cancellation of service or a reduction in the previously agreed upon price. Any further claims are excluded. The client remains liable for payment for the work performed by Green Crescent up to the time of the client's notice of cancellation. The client will not be entitled to claim cancellation or reduction if the delay is due to circumstances over which Green Crescent has no control.
Green Crescent will not be responsible for any loss or damage to, or for the return of, any source materials unless expressly agreed in writing.
Our clients hereby affirm that they are the rightful owner or licensee of the source materials and all of its components and that translation of the source material and publication, distribution, sale or other use of such materials will not infringe upon the legal rights of any third party.
Green Crescent retains ownership of, and the unconditional right to use, any language data acquired or produced during the course of the services that we provide. Language data can be understood to mean words, phrases, dictionaries, glossaries and other "text strings" which we add to our language database to leverage during future translation work. This is not intended to in any way imply legal copyright, which are the exclusive intellectual property of our clients.
At present, there is no effective standards body or controlling legal entity with the authority or ability to reliably judge quality or professional standards over the scope of the work we perform. In as much, Green Crescent does not require professional certification by 3rd-parties for our employees, collaborators or sub-contractors.
Costs, Payments & Invoicing
The cost of our services is based on a number of variables making each project unique. Green Crescent will issue a written cost proposal for each project. We will not proceed with any project without written acceptance by our clients. No refunds will be issued. Clients are, however, free to cancel their projects at any time but will be responsible for any and all work performed until we have confirmed the cancelation request in writing.
All fees will be quoted in USD (United States Dollars) unless otherwise specified in writing.
Green Crescent accepts purchase orders from established, creditworthy businesses. Our payment terms for purchase orders are NET 30 unless otherwise agreed to in writing. If the client is late in making payment, Green Crescent is entitled to charge interest at the rate of 8% per month in whole or in part until the entire amount due is received. The client alone is liable for payment and cannot pass these responsibilities onto a third party without written consent by Green Crescent. If Green Crescent needs professional collection assistance in order to collect a delinquent payment from a client, the client hereby agrees to be responsible for the full cost associated with the collection of any debt plus the cost of any additional hours required to pursue delinquent payments. Green Crescent is entitled to undertake any legal means needed to settle debts.
We also accept payment by PayPal and credit card. Clients hereby agree not to chargeback any payments rendered. Clients agree that failure to abide by this agreement will result in a penalty of $1,000 USD plus 8% of the above total per month for each day that said payments remain unavailable in addition to reimbursement of the total amount of any chargeback plus any and all costs associated with the collection of said payment.
Invoices and receipts will be provided upon request provided that said request takes place within 180 days of the conclusion of any project. Requests made after than date will be honored at our discretion.
Solicitation is hereby defined as the willful and bad faith hiring of a Green Crescent employee, service provider, or collaborator. Green Crescent has gone to considerable expense to train employees and vet its service providers and collaborators and the same are essential to Green Crescent’s ability to provide high-quality services at competitive rates. By engaging Green Crescent, you hereby agree not to willfully and in bad faith make any offer of employment or solicit any service from any current Green Crescent employee, service provider, or collaborator or to knowingly hire the same without the express written consent of Green Crescent. Furthermore you agree that you will not make any offer of employment or solicit any service for a period of no less than 36 months from the date said employee, service provider, or collaborator discontinues work with Green Crescent.
It is hereby agreed that the laws of the State of Delaware enforce this agreement and that the State of Delaware shall have sole jurisdiction in any dispute arising from this agreement. If any provision of this agreement is held to be invalid, such invalidity shall not affect the validity or enforceability of any other provision of this agreement. All notices to the client shall be deemed served upon contacting the client using any contact information obtained during the course of business communication including fax and telephone numbers, email addresses and mailing addresses.
Changes to our Terms & Conditions
Green Crescent reserves the right to change or amend these terms and conditions at any time without prior notice. Clients that do not agree with our terms and conditions should not engage our services.
The foregoing terms, including any attachments incorporated by reference, constitutes the entire agreement between Green Crescent and its clients unless superseded by written contract. Clients acknowledge that they have read and understood this agreement prior to placing an order.
